Terms of Service

1. Platform role

GigxMatch operates as an information and matching platform connecting artists, venues, and event organizers. Unless expressly stated otherwise in a separate written agreement, we are not a party to any contract between users (including performance agreements, venue hire, or service contracts), and we do not control or guarantee the performance, quality, safety, legality, or timing of any services offered by users.

We do not guarantee matches, bookings, outcomes, or any minimum level of activity, interest, or revenue for any user.

2. Eligibility and account registration

To use the Service, you must:

• be at least 18 years old, or the age of majority in your jurisdiction; and
• have the legal capacity to enter into binding contracts.

You agree to provide accurate, current and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3. User content and profiles

You are solely responsible for all information, text, images, audio, video, links and other materials you upload, publish or display on the Service ("User Content"), including artist profiles, venue pages and event listings.

• You represent that you have all necessary rights, licences and permissions to upload and use your User Content.
• You must ensure that your User Content is accurate, not misleading, and complies with applicable laws and third-party rights (including intellectual property and privacy).
• You grant GigxMatch a non-exclusive, worldwide, royalty-free licence to host, display and use your User Content for the purposes of operating, promoting and improving the Service.

4. Prohibited conduct

You agree that you will not, and will not assist or enable others to:

• use the Service for any unlawful, fraudulent or deceptive purpose;
• post or transmit any content that is defamatory, obscene, hateful, discriminatory or otherwise objectionable;
• harass, abuse or harm another person, or interfere with another user’s use of the Service;
• circumvent or attempt to circumvent any security or access-control measures on the Service;
• scrape, copy or harvest data from the Service except as permitted by applicable law and our explicit written consent; or
• impersonate any person or entity, or misrepresent your affiliation with any person or entity.

5. Rankings, exposure and sponsored listings

Search results, rankings and exposure of artist or venue profiles may be influenced by a combination of factors, including relevance, activity on the platform, quality signals, and, where clearly labelled, paid promotion or sponsored placements.

Where we offer sponsored or paid exposure options, such placements will be marked or disclosed in a manner intended to be clear and transparent to users. You must not misrepresent sponsored placement as organic ranking when communicating with your own customers or partners.

6. Fees and payments

We may charge platform fees, subscription fees or other charges for certain features or services. Any applicable fees, billing cycles and payment terms will be communicated to you at or before the point of purchase.

Unless expressly stated otherwise, platform fees paid to GigxMatch are non-refundable, including in cases of dispute between users. Any payments between artists, venues and event organizers are separate from GigxMatch, and are subject to your own agreements and policies.

7. No professional advice

Information provided on the Service, including articles, guides and recommendations, is for general information only and is not intended as legal, financial, tax or other professional advice. You should obtain independent professional advice before relying on any information for business or legal decisions.

8. Disclaimers and limitation of liability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that any content will be accurate or reliable.

To the maximum extent permitted by applicable law, GigxMatch and our affiliates, directors, employees and agents shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenues, data or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

Our aggregate liability arising out of or in connection with the Service shall, to the extent permitted by law, be limited to the greater of: (a) the total amount of fees you paid to GigxMatch for use of the Service in the 12 months preceding the event giving rise to the claim; or (b) an amount determined in accordance with applicable mandatory law.

9. Indemnity

You agree to indemnify and hold harmless GigxMatch and our affiliates, directors, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to:

• your use of the Service;
• your User Content;
• your breach of these Terms; or
• your violation of any law or third-party right.

10. Suspension and termination

We may, at our sole discretion and without prior notice, suspend or terminate your access to the Service (including by deactivating or deleting your account) if we reasonably believe that:

• you have breached these Terms or any applicable law;
• your use of the Service may cause harm or risk to other users, third parties or us; or
• we are required to do so by law or a competent authority.

11. Changes to the Service and to these Terms

We may update, modify or discontinue parts of the Service from time to time. We may also revise these Terms. When we make changes, we will take steps we consider reasonably appropriate to notify you, for example by updating this page or providing a notice in the Service.

Your continued use of the Service after the effective date of any revised Terms constitutes your acceptance of the revised Terms.

12. Governing law

These Terms are intended to be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles, unless mandatory local law in your jurisdiction requires otherwise.

13. Jurisdiction and dispute resolution

Any dispute, controversy or claim arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region. You agree to submit to the jurisdiction of those courts.

Before commencing proceedings, the parties agree to first attempt to resolve disputes through good-faith discussions. Where appropriate, the parties may also consider mediation before litigation.

14. Geographic availability

We do not represent that the Service is available, lawful, or suitable for use in every location. You are responsible for ensuring that your access to and use of the Service is permitted under the laws applicable to you.

We may limit the availability of the Service (in whole or in part) to any person, geographic area or jurisdiction at any time.

15. Changes to these Terms

We may modify these Terms from time to time. When we make changes, we will take steps we consider reasonably appropriate to notify you, for example by updating this page, posting a notice in the Service, or sending an email where appropriate.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the updated Terms.

16. Severability

If any provision of these Terms is held to be invalid, illegal or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, consistent with the original intent.

17. Entire agreement

These Terms constitute the entire agreement between you and GigxMatch relating to your use of the Service, and supersede any prior agreements or understandings on the same subject matter, to the extent permitted by law.

18. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing to be effective.
